Audit committee
An audit committee is a committee of an organisation's board of directors which is responsible for oversight of the financial reporting process, selection of the independent auditor, and receipt of audit results both internal and external. In a U.S. publicly traded company, an audit committee is an operating committee of the board of directors charged with oversight of financial reporting and disclosure. Committee members are drawn from members of the company's board of directors, with a Chairperson selected from among the committee members.
Auditor's report
An auditor's report is a formal opinion, or disclaimer thereof, issued by either an internal auditor or an independent external auditor as a result of an internal or external audit, as an assurance service in order for the user to make decisions based on the results of the audit. Auditor's reports are considered essential tools when reporting financial information to users, particularly in business. Many third-party users prefer, or even require financial information to be certified by an independent external auditor.
External auditor
An external auditor performs an audit, in accordance with specific laws or rules, of the financial statements of a company, government entity, other legal entity, or organization, and is independent of the entity being audited. Users of these entities' financial information, such as investors, government agencies, and the general public, rely on the external auditor to present an unbiased and independent audit report. The manner of appointment, the qualifications, and the format of reporting by an external auditor are defined by statute, which varies according to jurisdiction.
Audit
L’audit est une expertise professionnelle effectuée par un agent compétent et indépendant aboutissant à un jugement par rapport à une norme sur les états financiers, le contrôle interne, l'organisation, la procédure, ou une opération quelconque d'une entité. Il s'agit donc d'opérations d'évaluations, d'investigations, de vérifications ou de contrôles, regroupées sous le terme d’audit en raison d'exigences réglementaires ou normatives.
Audit comptable et financier
L'audit comptable et financier est un examen des états financiers d'une entreprise (d'une institution, fondation, association, d'un organisme, etc. ou de toute organisation disposant d'une comptabilité). Il vise à vérifier la sincérité des comptes, leur régularité, leur conformité et leur aptitude à refléter une image fidèle de l'état des finances et actions comptables de l'entité auditée. Cet examen est effectué par un professionnel appelé « Auditeur », ancien terme français qui se retrouve en France par exemple dans les grades d'auditeur de la Cour des comptes ou du Conseil d'État.
Tone at the top
"Tone at the top" is a term that originated in the field of accounting and is used to describe an organization's general ethical climate, as established by its board of directors, audit committee, and senior management. Having good tone at the top is believed by business ethics experts to help prevent fraud and other unethical practices. The very same idea is expressed in negative terms by the old saying "A fish rots from the head down".
Operational risk management
Operational risk management (ORM) is defined as a continual recurring process that includes risk assessment, risk decision making, and the implementation of risk controls, resulting in the acceptance, mitigation, or avoidance of risk. ORM is the oversight of operational risk, including the risk of loss resulting from inadequate or failed internal processes and systems; human factors; or external events. Unlike other type of risks (market risk, credit risk, etc.) operational risk had rarely been considered strategically significant by senior management.
Auditor
An auditor is a person or a firm appointed by a company to execute an audit. To act as an auditor, a person should be certified by the regulatory authority of accounting and auditing or possess certain specified qualifications. Generally, to act as an external auditor of the company, a person should have a certificate of practice from the regulatory authority. External auditor/ Statutory auditor is an independent firm engaged by the client subject to the audit, to express an opinion on whether the company's financial statements are free of material misstatements, whether due to fraud or error.
Contrôle interne
Le contrôle interne est un dispositif mis en œuvre par la direction d'une administration (privée comme les entreprises ou publique comme les ministères) pour lui permettre de maîtriser les opérations à risques qui doivent être faites par elle. Ses ressources sont pour cela mesurées, dirigées et supervisées de façon à permettre au management de réaliser ses objectifs. C'est une notion fondamentale du management des entreprises et des administrations qui va amener dans les années à venir leur restructuration en profondeur.
Enterprise risk management
Enterprise risk management (ERM) in business includes the methods and processes used by organizations to manage risks and seize opportunities related to the achievement of their objectives. ERM provides a framework for risk management, which typically involves identifying particular events or circumstances relevant to the organization's objectives (threats and opportunities), assessing them in terms of likelihood and magnitude of impact, determining a response strategy, and monitoring process.
